Summer Meeting Green Bay, WI July 28, 2000 The summer meeting of the West Shore Water Producers was held at Wally’s Spot in Green Bay on July 28, 2000; and hosted by the Green Bay Water Utility. 84 members were in attendance. Mr. Roger Johnson called the meeting to order at 9:00 a.m. Mr. Gladfelter announced that forms were mailed to everyone on the WSWP mailing list for verification of addresses and/or to remain on the mailing list. Nomination forms for the Emmett Sutliff Award were also mailed and should be returned by August 25th Mr. Don Bruessel gave an update on the WSWP web page, which the address is, www.wspa.org. The technical sessions included: “Waterborne Pathogens” City of Milwaukee Public Health Labs “Introduction to the Milw Health Dr. Steve Gradus Dept Lab & Waterborne Pathogens Lab” “”Overview of Environmental Water Dr. Gerald Sedmak Testing for Viruses” Energy Cntr of WI Water Consortium Rich Hackner “Green Bay Water Treatment Plant Darryl Hause Internal Controls “Green Bay Water Treatment Plant Ya Tai Lin, PhD Ozonation Project” A short business meeting was held after lunch followed by a tour of the Green Bay Water Utility.. Mr. Johnson dispensed with the reading of the minutes of the previous meeting. It was moved and seconded that CLCJAWA provide the home base for services of the WSWP including maintenance of the mailing list, meeting notices, and record keeping. Motion carried. It was moved and seconded to amend Article III of the by-laws to include “retired” employees of water utilities as members. Motion carried. Mr. Jeff Musinski, Treasurer, reported an ending balance as of July 26th of $4,068.14. There being no further business, the meeting was adjourned at 12:35 p.m. Respectfully submitted, Ruth Wisniewski, Recording Secretary WSWPA Bylaws WEST SHORE WATER PRODUCERS ASSOCIATION ORGANIZATION OUTLINE & BYLAWS I. The organization shall be known as the West Shore Water Producers Association (WSWPA). II. The objective of the organization shall be to share and discuss mutual water utility problems, to exchange new ideas, to loan or exchange equipment and services, and to assist each other during emergencies. III. The membership consists of employees of water utilities located along the west shore of Lake Michigan and treating Lake Michigan water and tributary water thereof for potable public water supply. Non utility personnel (consultants, manufacturers, etc.) are welcome to attend meetings and participate in the programs as guests of the Association. However, they are not eligible for membership and may not serve as officers or vote in elections. IV. There are no dues for membership. Expenses shall be met through registration fees collected at association meetings. Such expenses shall be those associated with actual meeting expenses and mailing of meeting notices, other notices and other activities as directed by a majority of the incumbent elected officers. WSWPA is a not-for-profit organization. The treasury balance should not exceed twice the value of an average meeting expense. Excess funds should be returned to the members in the form of reduced registration fees or expanded services. V. Officers shall be elected from the membership. The officers shall consist of a Chair Ex-Officio, Chair, Vice-Chair, Recording Secretary, Treasurer and Corresponding Secretary. Officer member duties are as follows: Chair Ex-Officio -- has no official duties, but may assist the Chair or other officers as needed. One year term served by outgoing Chair. Chair -- Arranges meeting dates and meeting hosts, conducts meetings and oversees the overall goals of the organization. Also, completes program agenda as prepared by the Education Committee and submits it to the Association Office if one has been appointed or to the Corresponding Secretary. One year term, elected by members. Vice Chair -- Assists Chair as needed and recommends the Emmitt Sutliff Award recipient from nominations received from the membership. One year term, elected by members. Recording Secretary -- Keeps minutes of meetings. One year term, elected by members. Treasurer -- Keeps track of meeting attendance and collects meeting registration fees. All moneys are dispersed to the Corresponding Secretary at the end of each WSWPA meeting. One year term, elected by members. Corresponding Secretary -- Keeps meeting and membership records, manages mailings and mManages the Association bank account. Keeps Association records and manages mailings in the event no utility is appointed as the Association Office. Three year term, elected by members. VI. The Chair shall appoint three Education Committee members before each annual election. Committee member duties are as follows: Education Committee Members (3) -- Plan the technical program and coordinate the meeting facilities with the host utility. Submit meeting program agenda and location map to Chair. Three year staggered terms, with one representative from each member state (IL, WI and IN). Appointed by Chair. VII. Annual elections for WSWPA officers shall be held at the last meeting of the calendar year. The Chair may appoint a Nominating Committee of two or three officers. The Nominating Committee will recommend a slate of officers (generally by rotation, from Treasurer to Ex-Officio Chair) each year. Every three years a new Corresponding Secretary will be nominated. Officer nominations should represent geographic location for organizational balance. Candidates shall be presented for election by the Nominating Committee at the election meeting. Following this, nominations shall be accepted from the floor for each position. Hearing none, the slate recommended by the Nominating Committee will be elected by a member majority vote. If additional nominations are presented, the individual office challenged will have a separate voice vote by the membership present. Officers shall take office at the end of the last meeting of the year elected. VIII. Association meetings shall be held at least twice a year and not more than four times per year. Meeting purpose shall be directed to the objectives of the organization. Meetings shall not be used to promote sales or services of any group or person. Each meeting shall include, as a minimum, a business meeting with reports from the Chair, Treasurer and Recording Secretary. Generally, a meeting will also include some/any of the following elements: 1. Tour of the host utility's facility; 2. A technical program with presentations by members or outside speakers concerning water treatment, production, distribution or related topics; 3. A time to share mutual experiences. IX. Planning committee meetings may be called by the Chair at any time during the year. Only the six currently elected officers and the three Education Committee members may attend. Any Association business requiring a vote must be approved by a simple majority of the officers/committee members present. X. The Chair may appoint a willing water utility located along the west shore of Lake Michigan and treating Lake Michigan water as the Association Office. If appointed, the Association Office shall keep Association records and manage mailings. The Association Office shall be reimbursed for direct expenses by the Corresponding Secretary. XXI. Amendments to these By-laws must be approved by at least four officers (2/3 majority) and a simple majority of the members at a WSWPA meeting by voice vote.
